These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and remembr.xyz regarding your access to and use of our artificial intelligence-powered inventory management platform, including our website, mobile applications, voice features, and all related services (collectively, the "Service").

By accessing, downloading, installing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service.

These Terms incorporate by reference our Privacy Policy, which describes how we collect, use, and protect your information.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Legal Capacity

You must have the legal capacity to enter into binding agreements in your jurisdiction. If you are a minor, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 License Grant to remembr.xyz

By uploading User Content to our Service, you grant remembr.xyz a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:

For Service Operation:

• Store, process, analyze, and display your User Content to provide our Services

• Create backup copies and derivatives necessary for Service functionality

• Process User Content through our AI systems for inventory analysis, categorization, and valuation

For AI Training and Commercial Purposes:

• Use your User Content to improve, develop, and train our AI models and algorithms

• Use anonymized and de-personalized User Content for commercial purposes, including but not limited to:
  - Training machine learning models for object recognition, categorization, and valuation
  - Developing new features and services
  - Creating aggregated market insights and analytics
  - Licensing anonymized data to third parties for research and commercial applications

3.3 Data Processing and Anonymization

Important: Before using your User Content for AI training or commercial purposes, we will:

• Remove all personally identifiable information (PII) including but not limited to names, addresses, faces, license plates, and other identifying information

• Anonymize metadata that could be used to identify you or your specific inventory

• Ensure that processed content cannot reasonably be traced back to you

3.4 Content Representations and Warranties

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights and licenses to grant the rights described herein

• Your User Content does not infringe on any third-party rights

• Your User Content complies with applicable laws and these Terms

• You have obtained necessary consents for any personal data of others included in your User Content

  
  

4. AI SERVICES AND LIMITATIONS

4.1 AI-Generated Content

Our Service uses artificial intelligence to analyze, categorize, and provide valuations for your inventory items. You acknowledge that:

• AI-generated valuations are estimates and may not reflect actual market value

• AI analysis may contain errors, inaccuracies, or omissions

• You should not rely solely on AI-generated content for important decisions

4.2 No Warranty on AI Accuracy

We provide no warranty, express or implied, regarding the accuracy, completeness, or reliability of AI-generated content. Use AI-generated information at your own risk and always verify important information through independent sources.

4.3 Voice Features

Our voice recognition and response features may:

• Process and temporarily store voice recordings for functionality

• Use voice data to improve speech recognition accuracy

• Share anonymized voice patterns for AI training purposes All voice processing will follow the same privacy and anonymization standards as other User Content.

  
  

5. PROHIBITED USES AND CONTENT

5.1 Prohibited Content

You may not upload, submit, or use the Service to process content that:

• Contains illegal, harmful, threatening, abusive, or defamatory material

• Infringes on intellectual property, privacy, or other rights of third parties

• Contains malware, viruses, or other harmful code

• Includes personal information of minors without proper consent

• Contains sensitive personal data (SSN, payment card information, passwords)

• Violates any applicable law or regulation

5.2 Prohibited Uses

You may not:

• Use the Service for any unlawful purpose or activity

• Attempt to reverse engineer, decompile, or disassemble our AI systems

• Scrape, crawl, or systematically extract data from the Service

• Use the Service to compete with or replicate our business model

• Share your account credentials with unauthorized third parties

6. INTELLECTUAL PROPERTY RIGHTS

6.1 remembr.xyz Property

The Service, including all software, algorithms, designs, trademarks, and other intellectual property (excluding User Content), is owned by remembr.xyz and protected by copyright, trademark, and other intellectual property laws.

6.2 Third-Party Content

The Service may include content, data, or materials from third parties. All such content remains the property of its respective owners and is used under appropriate licenses.

6.3 Digital Millennium Copyright Act (DMCA)

11.2 AI Content Disclaimer

WE SPECIFICALLY DISCLAIM ANY WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT, INCLUDING INVENTORY VALUATIONS, CATEGORIZATIONS, AND RECOMMENDATIONS.

11.3 Third-Party Content

We disclaim responsibility for third-party content, services, or websites accessible through our Service.

12. LIMITATION OF LIABILITY

12.1 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMEMBR.XYZ SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

• LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

• DAMAGES RESULTING FROM AI INACCURACIES OR SERVICE INTERRUPTIONS

• DAMAGES EXCEEDING THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

You are solely responsible for:

• Verifying AI-generated valuations and information

• Backing up your User Content

• Complying with applicable laws in your use of the Service

• Any decisions made based on information provided by the Service

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless remembr.xyz, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service

• Your User Content

• Your violation of these Terms

• Your violation of any third-party rights

14. DISPUTE RESOLUTION

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

You may not assign your rights under these Terms without our written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
